Referral Program Agreement

Enrollment

Participation is open to people and organizations that can enter a binding agreement and complete any identity, tax, and payout steps required by Stripe. Enrollment is normally approved automatically. You are responsible for keeping your account and payout information accurate and secure.

Self-referrals are currently allowed. Creating fake accounts, using stolen payment methods, or manufacturing transactions solely to generate commissions is not allowed.

Referral attribution

• A referral link creates a 30-day attribution window.
• A valid referral is attached when the referred person creates a PrismClip account while the referral is active.
• PrismClip’s server records determine attribution. A referral cannot be moved between participants after it has been attached to an account.
• Deleting cookies, changing browsers, using another device, or blocking tracking may prevent attribution.

Commissions

• You earn 20% of eligible subscription revenue collected from each valid referred customer for 24 months.
• The 24-month period begins with that customer’s first successful subscription payment.
• Eligible revenue excludes taxes, refunds, credits, voids, disputes, chargebacks, fraudulent payments, and other reversed amounts.
• PrismClip may correct duplicate or erroneous ledger entries. Refunds and reversals recorded before payout reduce the unpaid balance.

Payouts

• Available US-dollar balances of at least $25 are processed monthly through Stripe Connect, normally during the first three calendar days of the month.
• Balances below $25 carry forward.
• Stripe handles identity verification, payout details, and delivery to a supported payout destination.
• An eligible balance carries forward while payout setup is incomplete or a payout account cannot receive transfers.
• Recipient-side banking, currency-conversion, and payout fees are your responsibility. Processing may be delayed when reasonably necessary to resolve a payment, identity, compliance, or technical issue.

Promotion

You may promote PrismClip through websites, newsletters, email, social media, video, podcasts, communities, advertising, and respectful direct outreach. You choose your promotional channels and remain responsible for applicable laws, platform rules, and disclosure requirements.

Commercial email is allowed when recipients have opted in or when the sender otherwise has a lawful basis to contact them. Messages must identify the sender, avoid deceptive routing or subject information, provide a practical way to opt out, and honor opt-out requests promptly.

You may not:

• make false or materially misleading product, pricing, or earnings claims;
• impersonate PrismClip, Q32 LLC, an employee, or an official support account;
• send aggressive spam, including indiscriminate high-volume messaging or repeated messages after a recipient asks to stop;
• use cookie stuffing, forced clicks, hidden frames, misleading redirects, fabricated reviews, fake discounts, malware, or other attribution manipulation;
• promote PrismClip through unlawful, abusive, or deceptive content.

Clearly disclose your affiliate relationship when a disclosure is required.

Brand use

While you participate, Q32 LLC gives you a limited, non-exclusive, revocable right to use the PrismClip name, logo, and publicly supplied product materials solely to promote PrismClip through this program.

Do not register a domain, social account, business name, or application likely to be mistaken for an official PrismClip property. Do not claim ownership of PrismClip branding or imply that Q32 LLC approved your publication, service, or claims. You may resize approved assets and place them on suitable light or dark backgrounds.

Program changes

Q32 LLC may update these terms by publishing a revised agreement and effective date. Material changes apply prospectively. Changes to commission rates, attribution windows, or commission terms apply to referrals attached after the revised terms take effect. Valid customers attributed earlier keep the rate and term that applied when they were attributed.

Administrative changes required by law, Stripe rules, or payment-network requirements may take effect as required.

Taxes and relationship

You participate as an independent person or business, not as an employee, agent, franchisee, joint venturer, or legal representative of Q32 LLC. You cannot make commitments on behalf of PrismClip or Q32 LLC.

You are responsible for reporting and paying taxes associated with your earnings. You must provide information reasonably required for tax reporting, identity verification, or lawful withholding. Q32 LLC or Stripe may report payments or withhold amounts when required by law.

Records and questions

PrismClip’s account, attribution, invoice, refund, and payout records control program calculations. Report a suspected error within 90 days after it appears in the dashboard.

If one part of this agreement cannot be enforced, the remaining provisions continue to apply. A failure to enforce a provision once does not waive it later. These terms are the complete agreement for the PrismClip Referral Program.
